Annual General Meeting 2025

 

Our AGM is an important meeting, where the Board of Management can communicate with you as a member of the Society, and where you and other members can give us feedback and vote on how the business is managed.

 

Unlike many insurers we are a mutual, owned by you our members and run solely for your benefit. By using your vote, you can have your say in what we do and express your opinions.

 

When and where is the AGM this year?

 

This year the AGM will be held on Tuesday 24 June 2025 at 10:00am at Holloway House. A map can be found at the bottom of the page.

 

How to Vote

 

You have 2 ways to vote:

 
  1. Vote in person at the AGM.
  2. Appoint a proxy to vote on your behalf.
 

If you want to appoint a proxy to vote, you can do it online until Friday 20 June 2025 at 12:30pm. Please use the ‘Vote Now’ button in the menu above to access this. You will need to enter the two part security code which is included in your AGM Meeting Pack (which you should receive in the first week of June) to log in to the online voting.

 

You can also appoint a proxy to vote by returning the paper form found in your AGM Meeting Pack.

Join us for this year's AGM

 

At the AGM, the Board of Management will give a presentation on the main developments in the business. This will last around 30-45 minutes. The Senior Independent Board Member and the respective Chairs of the Audit, Risk and Compliance Committee, the Staffing, Salaries and Nominations Committee and the Investment Committee are there to answer your questions

  1. The minutes of the Society's AGM on 25 June 2024 can be read on this page.
  2. The Financial Statements are available on this page and include the Report of the Board of Management, the Strategic Report, the Independent Auditor's Report and the Board Remuneration Report.
  3. The Board Remuneration Report is found on page 66 of the Financial Statements.
  4. You will find biographies of the Board members, for whom you are asked to vote, on page 5 and 6 of the Financial Statements. We suggest you vote to elect, or re-elect those Board members put forward because they represent the various skills and professions required to ensure your Board of Management has a balanced mix of skills and experience and is well qualified to run the Society on your behalf.
  5. We suggest you vote for the re-appointment of Sumer Auditco Ltd (formerly Moore) as Society Auditor as they are experienced in providing services specific to the Holloway Income Protection sector.
  6. We suggest you vote for the re-election of the Arbitrators, who are required under legislation and the Society Rules. They are available to members to assist in the resolution of disputes.

    However, they do not replace nor are they an alternative to the Financial Ombudsman Service to whom you have a statutory right to refer disputes or complaints in the first instance. The Arbitrators provide a balanced, independent assessment of such matters that may arise.
  7. We suggest you vote to approve the partial alteration of rules registered to take effect from 31 December 2024 following a resolution of the Board under Rule 40.2 (such partial alteration being to schedules 1, 3 and 3A to the rules as shown on the Society's website).
 

We would really like you to attend the AGM in person. Attending this way will give you the chance to meet members of the Board of Management, who will be happy to answer any questions you may have. It will also give you with the chance to meet our staff and some of your fellow members.
